These terms are between Marc-Antoine Doyon, doing business as MD Automation (sole proprietorship, NEQ 2282467283), Rouyn-Noranda, Québec (“MD Automation”, “we”), and anyone who uses the mdautomation.ca website or buys from it (“you”).
1.Scope
1.1These terms govern the use of the mdautomation.ca website and the purchase of the licenses and services offered on it.
1.2Use of the software itself is governed by the end-user license agreement (mdautomation.ca/license/). How personal information is handled is described in the privacy policy (mdautomation.ca/privacy/), which is not part of these terms.
1.3Our products are intended for professionals and businesses. At checkout, you declare that you are buying for professional or business purposes.
1.4If you are nonetheless a consumer within the meaning of Québec’s Consumer Protection Act, the provisions of that Act that protect you apply notwithstanding anything to the contrary in these terms, and some clauses, in particular those of sections 6, 7.3, 11 and 13, may not apply to you.

3.Prices
3.1Prices are shown in Canadian dollars, taxes extra, and may change at any time. The price that applies is the one shown at payment.
3.2A free 15-day trial is offered for each plugin, with no card and no account, once per computer.
3.3A perpetual license is a one-time payment. It lets you use the purchased version with no time limit, with the AutoCAD versions it supports, and includes 12 months of updates and support. It is bound to one computer and may be moved to a new computer at most once per 12-month period, under the license agreement.
4.Taxes
Applicable taxes (GST, QST or other Canadian taxes) are calculated and shown at checkout. For a purchase made in a jurisdiction where we are not registered for tax, the price is charged without tax, and any tax due in that jurisdiction is the buyer’s responsibility.
5.Payment and delivery
5.1Payment is processed by Stripe. We never receive or store your card number. You receive a receipt by email.
5.2After payment you receive a payment confirmation code. To get your key, you send a license request from the License Manager in AutoCAD, on the computer to activate, with that code.
5.3We issue your license key within two business days of receiving a complete request. The key is bound to the computer named in the request.
5.4If, for a reason attributable to us, we cannot issue the key within 30 days of receiving a complete request, you may cancel the purchase and receive a full refund.
5.5If a payment is refunded or disputed, the corresponding key is not issued or ceases to be authorized.
6.Refunds
The free 15-day trial is the evaluation: no refund is given for a change of mind after purchase. If a plugin does not perform substantially as described in its documentation within 12 months of purchase, tell us: we will correct the defect or provide a workaround and, if we cannot do so within a reasonable time, we will refund the price paid for that plugin. The details are in sections 8 and 9 of the license agreement.
7.Subscription (when offered)
7.1The subscription gives access to all plugins while it is paid and active. It requires an online account, and you are responsible for keeping its password confidential.
7.2The subscription renews automatically at the end of each period (monthly or yearly) and is charged to your payment method until you cancel it. For a yearly subscription, we email you a reminder at least 30 days before renewal.
7.3You may cancel at any time from your account or by writing to us. Cancellation takes effect at the end of the paid period; you keep access until then. No refund is given for a period already started.
7.4We will give you at least 30 days’ notice of any price change, which applies from the next period.
8.Custom services and training
8.1Custom development is covered by a fixed-price written quote and a separate services contract, signed before work begins. That contract prevails over these terms for those services.
8.2Ownership. Unless the services contract says otherwise, the code written for your project is assigned to you on delivery and full payment. Our pre-existing tools, libraries and components, and general improvements to them, remain ours; you receive a perpetual, non-exclusive, royalty-free license to use them with the delivered tool.
8.3AutoCAD updates. The services contract sets out the period and scope of the fixes provided when a new AutoCAD version stops the delivered tool from working.
8.4A booked training session can be moved at no charge with at least five business days’ notice.
9.Using the website
9.1You may consult the website and its documentation for your personal or professional use.
9.2You may not: attempt to disrupt the website or its forms, circumvent the anti-robot check, send bulk requests, or reproduce or republish the website’s content without permission, except short excerpts with attribution.
9.3The website’s content (text, images, screenshots, logos, documentation) belongs to MD Automation. AutoCAD is a registered trademark of Autodesk, Inc.; MD Automation is neither affiliated with nor endorsed by Autodesk.
10.Website availability
We aim to keep the website available, with no guarantee of continuous availability. It may be interrupted for maintenance or for reasons beyond our control. Plugins already activated keep working without the website.
11.Liability
11.1The website and its content are provided “as is”. We try to keep the information accurate, without guaranteeing that it is complete or current.
11.2To the fullest extent permitted by law, our liability relating to the use of the website is limited to $100. Liability relating to the software is governed by the license agreement, and liability relating to custom services by the services contract. This section does not limit liability for bodily or moral injury, or for intentional or gross fault (article 1474 of the Civil Code of Québec).
12.Assignment
We may assign these terms, and the purchases made under them, to a company we control or that acquires the MD Automation business, provided your rights are maintained.
13.Governing law and courts
These terms are governed by the laws of Québec and the federal laws of Canada applicable there. Subject to section 1.4, any dispute falls under the courts of the judicial district of Rouyn-Noranda.
14.Changes
We may amend these terms. The version that applies to a purchase is the one in force at payment. The version and its date appear at the top of the page.
15.Language
These terms are drafted in French. An English version is also provided; having been presented with the French version, you may choose to be bound by the English version. In case of discrepancy, the French version prevails.
